ALL TRANSACTIONS MADE THROUGH THE AJ COSMO LABS LLC PLATFORM ARE FINAL AND NON-REFUNDABLE.
This includes: wallet deposits ($5–$50,000), formula purchases, AI formulation fees, subscription fees, role change fees, featured listing fees, and validation fees.
WALLET DEPOSITS: Once credited to your in-app wallet, funds are non-refundable. App Store/Play Store purchases are subject to their respective refund policies.
FORMULA PURCHASES: Once purchased and accessed, no refund will be issued under any circumstances.
CHARGEBACKS: Initiating a fraudulent chargeback constitutes fraud and a material breach. AJ Cosmo Labs LLC will pursue collection and may terminate your account.
HIGH-VALUE TRANSACTIONS: For deposits of $10,000 or more, you confirm you have read these Terms, are acting of your own free will, and understand the funds are non-refundable.

DISTRIBUTORS: You must accurately represent distribution capabilities and ensure regulatory compliance in all territories.
PROHIBITED CONDUCT: You may NOT: (a) use the platform for unlawful purposes; (b) upload infringing or fraudulent content; (c) circumvent the payment system for off-platform transactions; (d) create multiple accounts to evade bans; (e) scrape or automate platform access; (f) submit fake reviews or manipulate ratings; (g) impersonate any person or falsely claim credentials.

STRONG RECOMMENDATION FOR PRODUCT LIABILITY INSURANCE: AJ Cosmo Labs LLC strongly recommends — and for certain transactions may effectively require — that all users who commercialize products formulated through this platform maintain adequate product liability insurance coverage. Product liability claims can result in significant financial exposure, and users who manufacture, distribute, or sell consumer products without adequate insurance coverage do so at substantial personal and business risk.
MINIMUM RECOMMENDED COVERAGE: Users who commercialize products formulated through the platform should maintain, at minimum, a commercial general liability (CGL) policy with product liability coverage of at least $1,000,000 per occurrence and $2,000,000 aggregate. For products in higher-risk categories (food and beverage, supplements, pet care, industrial chemicals, agricultural products), users should consider higher coverage limits and may wish to obtain umbrella or excess liability policies. Coverage requirements may vary by product type, sales volume, and distribution channels.
PROOF OF INSURANCE: AJ Cosmo Labs LLC reserves the right to require proof of adequate product liability insurance as a condition for certain platform transactions, including but not limited to manufacturing engagements, high-volume sales, and access to certain platform features. Users may be required to provide certificates of insurance naming AJ Cosmo Labs LLC as an additional insured party upon request.
USER BEARS ALL PRODUCT LIABILITY RISK: Users acknowledge and agree that they bear all product liability risk for any products they develop, manufacture, distribute, or sell using formulations obtained through the platform. AJ Cosmo Labs LLC is a technology platform provider and does not manufacture, test, or distribute physical products. Users are solely responsible for ensuring their products are safe, properly tested, accurately labeled, and compliant with all applicable regulations.
PLATFORM IS NOT AN INSURER OR GUARANTOR: AJ Cosmo Labs LLC is not an insurance company, surety, or guarantor. USER RESPONSIBILITY FOR PRODUCT RECALLS: Users who commercialize products formulated through the platform are solely and exclusively responsible for initiating, managing, and funding any product recalls that may become necessary. AJ Cosmo Labs LLC does not manufacture, distribute, or sell physical products and has no obligation to initiate or participate in product recalls, except as may be required by law.
FDA MEDWATCH REPORTING OBLIGATIONS: Users who commercialize food, beverage, dietary supplement, cosmetic, or other FDA-regulated products are responsible for complying with FDA adverse event reporting requirements. Serious adverse events associated with dietary supplements must be reported to the FDA through MedWatch within 15 business days under the Dietary Supplement and Nonprescription Drug Consumer Protection Act. Users must establish and maintain systems for collecting, evaluating, and reporting adverse events.

PLATFORM COOPERATION WITH GOVERNMENT RECALL ORDERS: AJ Cosmo Labs LLC will cooperate with lawful government recall orders and regulatory investigations to the extent required by law. This may include providing transaction records, user information, and platform data to regulatory authorities pursuant to valid legal process. Users acknowledge and consent to such disclosure.
AJ COSMO LABS LLC NOT RESPONSIBLE FOR RECALL COSTS: AJ Cosmo Labs LLC is not responsible for any costs associated with product recalls, including but not limited to notification costs, shipping costs, refund costs, replacement product costs, disposal costs, regulatory penalties, legal fees, or any other direct or indirect expenses. All recall-related costs are the sole responsibility of the user who commercialized the product.
PLATFORM-LEVEL NDA: By accessing any non-public formulation, project brief, client specification, or confidential business information shared through this platform — whether via the validation system, manufacturing bidding, hire requests, or direct collaboration — you enter into a binding Non-Disclosure Agreement with the disclosing party.
SCOPE: The NDA covers all non-public technical data, formulation compositions, ingredient ratios, manufacturing processes, product specifications, client identity, project details, and any other information explicitly or implicitly marked as confidential by the disclosing party.
OBLIGATIONS: You agree to: (a) hold all confidential information in strict confidence; (b) use it only for the purpose of fulfilling the specific engagement on this platform; (c) not disclose it to any third party without the disclosing party's prior written consent; and (d) take all reasonable measures to prevent unauthorized disclosure.
DURATION: Your NDA obligations with respect to any specific piece of confidential information remain in effect for five (5) years from the date of disclosure, or indefinitely if the information qualifies as a trade secret under applicable law.

BREACH REMEDIES: Breach of this NDA may result in immediate account termination, injunctive relief, and claims for actual damages including lost profits, attorneys' fees, and equitable remedies.

STRICTLY PROHIBITED USES: Users may NOT use the AI formulation platform for any of the following purposes, and violation of these prohibitions may result in immediate account termination, legal action, and referral to law enforcement:

The platform enforces strict role-based access controls (RBAC). Your access to features, formulations, and data is determined by your account role: Client, Chemist, Manufacturer, Distributor, or Admin.
FORMULA ACCESS TIERS: Formulations have three access levels — (1) Public: visible to all authenticated users (title, product type, ingredient count only); (2) Purchased: full formulation data accessible after verified payment; (3) Owner: complete access including analytics, revision history, and edit rights.
VALIDATION GATING: A chemist can only view a client's full formulation after the client explicitly submits a validation request and the chemist accepts it. Acceptance creates an NDA record and grants time-limited confidential access.
ACCOUNT SECURITY: You are responsible for maintaining the security of your account credentials. Sharing your account or credentials is strictly prohibited and constitutes a material breach of these Terms.
SESSION CONTROLS: Sessions are managed with secure tokens. MFA options include biometric (Face ID/Touch ID), SMS, and TOTP. We strongly recommend enabling MFA to protect your account and any confidential data you share on the platform.
DATA ENCRYPTION IN TRANSIT: All data transmitted between your device and the AJ Cosmo Labs LLC platform is encrypted using TLS (Transport Layer Security) protocols.
DATA ENCRYPTION AT REST: Sensitive user data — including MFA secrets, backup codes, and authentication credentials — is encrypted at rest using industry-standard cryptographic algorithms.
PII PROTECTION: The platform automatically scans all messages and uploaded images for personally identifiable information (PII) such as email addresses, phone numbers, and social media handles, and blocks off-platform contact attempts.
MFA SECURITY: When MFA is enabled, authentication secrets are encrypted before storage and are never transmitted in plaintext. Biometric authentication is processed on-device.
NO ABSOLUTE GUARANTEES: While AJ Cosmo Labs LLC employs commercially reasonable security measures, no system is 100% secure. You acknowledge this inherent risk and agree that AJ Cosmo Labs LLC shall not be liable for security incidents beyond its reasonable control.
DATA RIGHTS REQUESTS: CosmoForm administrators may issue data rights requests to users in compliance with applicable data protection laws, including GDPR (General Data Protection Regulation), CCPA (California Consumer Privacy Act), and CPRA (California Privacy Rights Act). Users will be notified of such requests through the app.
TYPES OF REQUESTS: Data rights requests may include: (a) Right of Access - providing a copy of all personal data held; (b) Right to Deletion - removing personal data from our systems; (c) Right to Data Portability - exporting data in a machine-readable format; (d) Right to Rectification - correcting inaccurate personal data.
RESPONSE OBLIGATIONS: Upon receiving a data rights request, users must acknowledge receipt within the app. CosmoForm will process all legitimate requests within 30 calendar days. Complex requests may be extended to 60 days with prior notification to the requesting party.

All formulations, documents, images, and other content uploaded to the platform by users ("Uploaded Content") remain the sole intellectual property of the uploading user, subject to these Terms.
By uploading content, you grant AJ Cosmo Labs LLC a limited, non-exclusive, royalty-free license to host, display (including watermarked previews), and transmit your content solely for the purpose of operating the marketplace.
AJ Cosmo Labs LLC does NOT claim ownership over your uploaded formulations or proprietary data. We act as a technology intermediary only.
You represent and warrant that you are the original creator of all uploaded content, or that you hold all necessary rights and licenses to upload, sell, and license such content on this platform.
You are solely responsible for ensuring your uploaded content does not infringe any third-party copyright, patent, trade secret, trademark, or other intellectual property right.
Upon deletion of your account or removal of a listing, AJ Cosmo Labs LLC will cease displaying your content, subject to reasonable technical processing time. Copies already delivered to buyers will not be recalled.
AJ Cosmo Labs LLC reserves the right to remove any uploaded content that we believe, in our sole discretion, violates these Terms, applicable law, or third-party rights.
Upon completing a purchase of a formulation or related content on the platform, buyers receive a non-exclusive, non-transferable, limited license to use the purchased formulation for their intended commercial or personal purpose.
Unless the listing explicitly states otherwise, buyers DO NOT receive: (a) exclusive rights to the formulation; (b) the right to resell or sub-license the formulation to third parties; (c) ownership of the underlying intellectual property; or (d) the right to claim authorship or inventorship.
Buyers may use purchased formulations to manufacture, develop, and commercialize end products. Buyers may NOT resell the raw formulation itself or list it on any competing marketplace.
Listings that offer "exclusive rights" transfer the selling chemist's rights to the buyer for that specific formulation. Such exclusive transfers must be explicitly stated in the listing description and are binding upon completed purchase.
Buyers acknowledge that formulations are provided "as-is" for informational and development purposes. Independent safety testing, regulatory review, and compliance verification are the sole responsibility of the buyer.
All license rights granted to buyers survive termination of the platform, provided the buyer retains proof of purchase.
AJ Cosmo Labs LLC is a marketplace platform and does NOT pre-screen, verify, or certify the originality or legality of any user-submitted content. We operate as a passive intermediary under applicable law.
Users who upload content that infringes third-party intellectual property rights — including patents, trade secrets, copyrights, or trademarks — bear SOLE AND FULL legal and financial liability for such infringement.
AJ Cosmo Labs LLC expressly disclaims any liability for damages, losses, claims, or legal proceedings arising from infringing content uploaded by users. We will cooperate fully with legitimate legal process.
If you believe content on the platform infringes your intellectual property rights, you must submit a written DMCA takedown notice or equivalent legal notice to support@ajcosmolabs.com. We will respond within 10 business days.
Repeat infringers will have their accounts permanently terminated. AJ Cosmo Labs LLC reserves the right to terminate any account at its sole discretion upon receipt of credible infringement claims.
Buyers who knowingly purchase stolen or infringing formulations may also bear liability. AJ Cosmo Labs LLC strongly recommends due diligence, including requesting proof of authorship or originality from sellers prior to high-value purchases.
AJ Cosmo Labs LLC maintains the right to pursue indemnification from uploading users for any costs, settlements, damages, or attorney fees incurred as a result of third-party infringement claims related to their uploaded content.
Users may share proprietary formulas, manufacturing processes, trade secrets, and confidential business information through the platform's private messaging, collaboration, and listing features.
All users agree to treat any non-public information received from other users through the platform as strictly confidential. You may not disclose, reproduce, or use another user's confidential information for any purpose other than the intended transaction.
Confidentiality obligations survive the termination of any transaction or account. Information received in confidence must not be reverse engineered, repurposed, or disclosed to third parties without the disclosing party's explicit written consent.
Chemists and manufacturers who receive confidential client briefs, specifications, or project details agree to use that information solely for the purpose of fulfilling the specific engagement and to delete or destroy such information upon project completion unless otherwise agreed in writing.
AJ Cosmo Labs LLC implements reasonable technical and organizational safeguards to protect confidential data on its servers. However, users acknowledge that no digital platform can guarantee absolute security, and AJ Cosmo Labs LLC shall not be liable for unauthorized third-party access beyond its reasonable control.
Any breach of confidentiality obligations by a user may result in immediate account termination and may subject the breaching user to legal action, including claims for injunctive relief and damages, by both AJ Cosmo Labs LLC and the affected party.
